1. Definitions
a) "music-Abuse.com",
also referred to as "We",
is a Italy company with registered address: Via
Martiri d' Africa 73, 80059 T. Greco, Napoli, ITALY, PI 04540771211.
b) The term "the website" shall mean "www.music-abuse.com"
b) The term "Artists" shall mean Voice-talent and or Musician who
have been featured on this website.
c) The term "Visitor" shall mean producers or any visitors who
use the data contained on the music-abuse.com website.
2. Acceptance of Terms and Conditions
a) These Terms
and Conditions should be read before submitting an application to become
an Artists. By applying, you are agreeing to the Terms and Conditions
outlined here.
b) These Terms and Conditions should also be read and understood by Visitors
who choose to use the data contained on the website. By choosing to use
the data, you are agreeing to the Terms and Conditions outlined here.
3. Visitors
and Artists Responsibilities
a) The
use of Artists name supplied on the website for the
purposes of investigating the booking of Voice talent for voice talent
services.
b) Not to commit any action, or breach which has the effect of bringing
music-Abuse.com into litigation.
c) Not to download or distribute any files on the music-Abuse.com website.
d) To accept that information contained on the website may be inaccurate
or out of date.
4. Artists
Responsibilities
a) Only to
request to upload material while Artists has legal and beneficial rights
to such material or, as the case may be, in accordance with the restrictions
and permission of all persons or bodies entitled to restrict the copying
and disclosure of such material. Demo audio remains the property of the
Artists and music-Abuse.com accept no resposibility by hosting it.
b) Not to request to upload any material which is illegal under the laws
of Italy and or the laws of the Artists country. It is
the Artists responsibility to ensure any audio meets the compliance
of any governing body, and applicable conditions of The Broadcasting Act
1990, the Radio Authority Codes, Advertising Acts, and other acts which
govern the transmission of audio by way of "cable" or Internet
at the time of writing and in the future.
c) To inform music-Abuse.com to remove material if they discover that any
of the terms here have been breached.
d) Not to submit demo audio mentioning known company names for which the
Artists does not attribute as previous clients - without clearly informing
music-Abuse.com.
e) To inform music-Abuse.com if Artists details are inaccurate or our
of date.
5. Copyright information
a) All files
designed and generated on behalf of the Artists shall remain the copyright
of music-Abuse.com. Artists who supplied Demos directly remain the copyright
of the
artists.
6. Limitation of liability
a) For the
avoidance of doubt music-Abuse.com has no obligation duty or liability
in contract, tort for breach of statutory duty or otherwise beyond that
a duty to exercise reasonable skill and care.
b) In any event in no circumstances shall music-Abuse.com be liable in
contract, tort (including negligence or breach of statutory duty) or otherwise
for loss (whether direct or indirect) of profits, business or anticipated
savings or for any indirect or consequential loss whatever.
c) In any event music-Abuse.com’s liability in contract, tort (including
negligence or breach of statutory duty) or otherwise arising by reason
of or in conjunction with this Terms or howsoever otherwise shall be
limited to the charges due under this Terms.
d) In any event + in no circumstances shall music-Abuse.com be liable in
contract, tort (including negligence or breach of statutory duty) or otherwise
for loss (whether direct or indirect) of profits, business or anticipated
savings or for any indirect or consequential loss whatever. By the failure
of, or any problem experienced by the server.
e) Each provision of this condition is to be construed as a separate limitation
applying and surviving even if for any reason one or other of the said
provisions is held inapplicable or unreasonable in any circumstances.
7. Indemnity
a) Without
prejudice to any other rights or remedies which music-Abuse.com may have
the Artists shall indemnify music-Abuse.com against any loss or expense
sustained by reason of any breach of this Terms and any actions proceedings
claims or demands in any way connected with this Terms brought on
by or threatened against music-Abuse.com by a third party which are caused
by or arise from any act of music-Abuse.com carried out to pursuant to
the instructions of the Artists.
8. Warranties and Indemnities
The Artists warrants and undertakes that:
a) He will be responsible for obtaining and paying for all necessary licenses
and consents for the Internet publication of any audio copyright material
contained or the inclusion of any person and/or material in the submitted
audio.
b) No audio will breach the copyright or other rights of or be defamatory
of any third party.
c) He will indemnify and keep music-Abuse.com indemnified against all actions,
proceedings, costs, damages, expenses, penalties, claims, demands and liabilities
arising from any breach of the above warranties or in any manner whatsoever
in consequence of the use recording or Internet publication of any audio
or matter supplied by the Artists.
9. Artists Cancellations
a) Any Artists
demo entry may be cancelled by either side provided that notice in writing
is received by music-Abuse.com or the Artists as the case may not be
less than 30 days.
b) music-Abuse.com reserve the right to announce closure of the www.music-Abuse.com website
or the voice over or Library Music services at any time.
10.
Matters beyond music-Abuse.com’s reasonable control
music-Abuse.com is
not liable for any breach of this Terms where the breach was caused
by Act of God, insurrection or civil disorder, war or military operations,
national or local emergency, acts or omissions of government, highway
authority or other competent authority, music-Abuse.com compliance with
any statutory obligation or an obligation under a statue, industrial
disputes of any kind (whether or not involving music-Abuse.com employees),
fire, lightening, explosion, flood, subsidence, weather of exceptional
severity, acts of omissions of persons for whom music-Abuse.com is not
responsible (including in particular other telecommunication service
providers) or any other cause whether similar of dissimilar outside music-Abuse.com
reasonable control.
music-Abuse.com cannot take any reponsibility for the accuracy of information
contained on the music-Abuse.com website or on pages it links to.
11. Proper Law
This contract
is to be treated as made in Italy according to Italian Law and subject
to the jurisdiction of the Italian courts.
